These Terms and Conditions (hereinafter referred to as "Terms") establish the legal framework governing the use of all platforms and electronic applications of Special Services Company, including websites, mobile applications, and digital platforms affiliated with it (collectively referred to as "Company Platforms"). The Company reserves the right to amend these Terms at any time in accordance with regulatory, legislative, and commercial developments. Continued use of the platforms after the publication of any amendment constitutes the user's explicit consent to those amendments.

Article One: Parties & Definitions

1-1 Parties Subject to These Terms

  • The Company: Special Services Company, the owner and operator of all Company Platforms.
  • The Subscriber: Any commercial or institutional entity that subscribes to the Company's services to provide them to its end users, and is subject to a separate subscription Contract agreement.
  • The End User: Any natural person who uses the Company's platforms to request or access a service.
  • The Platforms: All applications and websites affiliated with Special Services Company.

1-2 Scope of Application

These Terms apply to all three parties mentioned above according to the nature of each relationship. Specific subscription provisions apply to the Subscriber under a separate agreement, while the relationship with the End User is governed by these General Terms and the approved Privacy Policy.

Article Two: Acceptable Use of Platforms

2-1 Eligibility & Access

The user acknowledges that they possess full legal capacity to enter into agreements and that their use of the platforms complies with the laws and regulations applicable in the Kingdom of Saudi Arabia.

2-2 Prohibited Use

  • The platforms may not be used for any purpose that violates Saudi laws and regulations, including the Anti-Cybercrime Law.
  • It is prohibited to breach the platforms, tamper with their content, or overwhelm them with any unlawful traffic.
  • It is strictly prohibited to use any content for abusive or discriminatory purposes based on age, gender, religion, race, nationality, or disability.
  • It is prohibited to extract, compile, or publish data outside the platforms without explicit written permission from the Company.

2-3 Service Availability

The Company strives to make its platforms available around the clock throughout the week; however, actual service availability may vary according to the schedules of subscribing companies and operational factors beyond the Company's control. The Company reserves the right to temporarily suspend access for maintenance, updates, or the introduction of new features without prior notice.

Article Three: Service Requests & Mechanism

3-1 Request Mechanism

The Company's platforms operate as a digital intermediary that enables the end user to submit a service booking request for a specific time period and direct that request to the relevant Subscriber. The Company is not a direct party to the execution of field services, and its responsibility is limited to delivering the request and providing the booking interface.

3-2 Subscriber Responsibility

The Subscriber bears full responsibility for the execution of the field service, its quality, and its timing in accordance with the agreement concluded with them. The Company is not responsible for any performance failure attributable to the Subscriber or circumstances beyond its control.

3-3 Modifying & Cancelling Requests

The possibility of modifying or cancelling requests is subject to the relevant Subscriber's policies and the remaining time before the service execution date. The Company's role is to notify the user of any changes made to their request by the Subscriber through the registered communication channels.

Article Four: External Links & Platforms

The Company's platforms may contain links to third-party websites or services. These links are not under the Company's control and do not represent its endorsement of their content or privacy policies. The user alone bears responsibility for any use of third-party platforms, and those platforms are governed by their own independent terms and conditions.

Article Five: Intellectual Property & Data

5-1 Content Ownership

All content available through the Company's platforms, including information, texts, designs, graphics, software, and trademarks, is the exclusive property of Special Services Company or is licensed to it by third parties, and is subject to protection under the Intellectual Property Law of the Kingdom of Saudi Arabia. Republication, redistribution, or reproduction of any content by any means without prior written permission is prohibited.

5-2 Collected Data

The Company's platforms collect data related to service requests and their details for operational, analytical, and quality improvement purposes, in accordance with the approved Privacy Policy and the provisions of the Personal Data Protection Law (PDPL) issued in the Kingdom of Saudi Arabia. This data is neither sold nor shared with external parties except as required by service requirements or regulatory obligations.

Article Six: Disclaimer & Indemnification

6-1 Company Disclaimer

Special Services Company and its affiliated platforms bear no responsibility for direct or indirect damages arising from:

  • Misuse of the platforms by any party.
  • Temporary service interruption due to technical, operational reasons, or force majeure.
  • The Subscriber's failure to execute or delay in executing field services.
  • Any losses arising from third-party links or platforms.

6-2 Indemnification

The user undertakes to indemnify the Company against any claims, losses, or legal expenses arising from their violation of these Terms, as determined by the competent judicial authority.

Article Seven: Company Administrative Authority

The Company reserves the right at all times and without prior notice to:

  • Modify or remove any content or service available through its platforms.
  • Suspend or terminate any user's access, temporarily or permanently, upon confirmed explicit violation of these Terms.
  • Review any content uploaded to the platforms and remove it if found to be harmful.

Article Eight: Governing Law & Jurisdiction

These Terms are subject to the provisions of the Saudi Civil Transactions Law and its complementary legislation, including the Anti-Cybercrime Law and e-commerce regulations applicable in the Kingdom of Saudi Arabia. Exclusive judicial jurisdiction to hear any dispute arising from or related to these Terms is vested in the competent courts in the city of Riyadh.

If any competent judicial authority determines that any provision of these Terms is unlawful or unenforceable, all remaining provisions shall continue in full legal force and effect.
